Services Provided

Matador Solutions LLC is an online marketing agency providing services which may include, but are not limited to: Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising management, Social Media Marketing (SMM), Content creation and strategy, and Website design and development. The specific scope of work, fees, payment schedule, and terms for a Client engagement are governed by a separate, written Service Agreement or Statement of Work (SOW) executed between Matador Solutions LLC and the Client. In the event of a conflict, the Service Agreement/SOW will take precedence over these Terms.

User Obligations

As a User or Client of the Site and services, you agree not to: Use the Site for any unlawful purpose; Upload, post, or transmit any illegal, abusive, harassing, or defamatory content; Interfere with the security or operation of the Site; or Attempt to gain unauthorized access to any part of the Site or service systems.

Payment Terms and Service Cancellation

All fees for services are outlined in the separate Service Agreement/SOW. Invoices are typically issued

Intellectual Property Rights (IP)

Agency IP: All content, designs, logos, and service methodologies developed prior to or outside the scope of a Client contract, or on the Matador Solutions LLC website, are the property of Matador Solutions LLC and are protected by copyright and intellectual property laws. Client Deliverables IP: Unless otherwise stipulated in the Service Agreement, Matador Solutions LLC typically assigns full intellectual property rights to the Client for all final, client-specific deliverables (e.g., ad copy, graphics, SEO reports) upon full payment of the final invoice.

Disclaimer of Warranties and Limitation of Liability

Marketing Results: Matador Solutions LLC provides services with reasonable care and skill but does not guarantee specific results, rankings, or revenue increases. Online marketing results are dependent on numerous factors, including search engine algorithms, competitor actions, and market trends, which are outside of our control. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATADOR SOLUTIONS LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

Indemnification

You agree to indemnify and hold harmless Matador Solutions LLC and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or our services, or your violation of these Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

Changes to Terms

Matador Solutions LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page.
